1. About these terms
These Terms of Service govern your use of the SkySat website, our internet services and our software platforms. They form a binding agreement between you and:

By using our website, taking a subscription or using one of our platforms, you accept these terms. If you do not accept them, do not use our services.
Individual services may be governed by an additional written agreement, such as a subscription contract or a service order. Where such an agreement conflicts with these terms, that agreement prevails for the service it covers.
2. Our services
SkySat operates in two areas:
- Internet service provision. Fiber broadband to subscribers in Baghdad, together with customer care, subscription management and the SkySat app.
- Software services for businesses. Platforms used by business clients, including a service that lets a business client send one-time passcode (OTP) messages to its own customers over the WhatsApp Business Platform.
3. Eligibility and accounts
You must be at least 18 years old to take a subscription or open an account. Business services are available only to legally registered businesses, and the individual accepting these terms on a business's behalf must be authorised to bind it.
You must give accurate registration information and keep it current. You are responsible for keeping your account credentials confidential and for activity carried out under your account. Tell us promptly at Support@SkySat-iq.com if you believe your credentials have been compromised.
4. Internet services
Broadband speeds are quoted as maximum attainable rates. Actual speed depends on your plan, the quality and length of the line, the equipment in use, network load and factors outside our control.
Equipment we install or supply remains our property unless the contract says otherwise. You must not move, modify, open or resell it, and you must give us reasonable access to install, inspect, maintain or recover it. You are responsible for loss or damage to that equipment while it is in your care, other than fair wear and tear.
Subscription fees, plan terms and renewal dates are as set out in your subscription contract. Fees are payable in advance. Service may be suspended where fees remain unpaid after written notice.
You must not use the connection for any unlawful purpose, to send spam, to attack or gain unauthorised access to any system, to infringe intellectual property rights, or to resell the service to third parties without our written agreement.
5. Business messaging services
This section applies to business clients who use SkySat's platform to send one-time passcode messages to their own customers over the WhatsApp Business Platform.
5a. Your WhatsApp Business Account
Business clients connect their own WhatsApp Business Accounts to the platform. The account remains the client's, and the client remains solely responsible for:
- The standing of its own Meta and WhatsApp Business accounts, including quality rating, messaging limits, template approval, and any restriction, suspension or ban applied by Meta.
- The content of every message sent from its account through the platform.
- Compliance with the WhatsApp Business Policy, the WhatsApp Business Messaging Policy, Meta's Platform Terms, and any other rule Meta applies to the account.
- Compliance with all laws that apply to its messaging, including the law of the Republic of Iraq and any law applying where its customers are located.
SkySat does not control Meta's decisions about a client's account. If Meta restricts, suspends or terminates a client's WhatsApp Business Account, the client's ability to send messages will be affected, and SkySat is not liable for that outcome.
5b. Billing for message usage
Message usage on the WhatsApp Business Platform is billed by Meta directly to the client, under the client's own billing arrangement with Meta. SkySat is not a party to that arrangement, does not set those rates and does not collect those charges.
SkySat's fees for use of the platform are separate from, and additional to, what Meta charges. SkySat fees are as agreed in writing with the client and, unless otherwise agreed, are payable in advance. If Meta suspends message delivery because the client has not paid Meta, SkySat fees remain payable.
5c. Acceptable use of the messaging service
The platform may be used only to deliver one-time passcodes that the recipient has asked for. Clients must not use it:
- To send spam or bulk unsolicited messages, or to send at a volume or frequency intended to evade Meta's controls.
- To send marketing, promotional or advertising content of any kind, whether or not disguised as a verification message.
- To send a one-time passcode to any person who did not request it.
- To message phone numbers obtained without the individual's knowledge, including purchased, scraped or harvested lists.
- To impersonate any person or business, or to misrepresent the origin of a message.
- For phishing, fraud, or any attempt to obtain credentials or payment details by deception.
5d. Consent from your end customers
The client must obtain lawful consent from each of its own end customers before a message is sent to that customer through the platform. The client is the data controller for its customers' data and is responsible for the lawful basis on which it is processed.
The client must be able to demonstrate, on request, that a recipient asked for the one-time passcode sent to them, must honour opt-out and deletion requests from its own customers, and must give its customers the information that applicable law requires.
The client indemnifies SkySat against any claim, penalty, loss or cost arising from its failure to obtain lawful consent, or from the content of messages sent from its account.
6. Acceptable use generally
Across all our services you must not: break the law; interfere with or attempt to gain unauthorised access to our network, systems or another customer's data; transmit malware; harass, defame or threaten any person; infringe intellectual property rights; or reverse engineer, decompile, resell or sublicense our software without our written agreement.
7. Availability
We work to keep our services available and reliable, but we do not guarantee any level of uptime, availability, throughput or message delivery speed unless a service level has been separately agreed in writing.
Services may be interrupted by maintenance, by faults, by power or infrastructure failures, or by the acts of third parties including Meta and upstream network operators. We will schedule planned maintenance outside peak hours where reasonably practicable.
8. Disclaimer of warranties
To the fullest extent permitted by applicable law, our services are provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose and non-infringement.
We do not warrant that a service will be uninterrupted, error-free or secure against every threat, that every message will be delivered, or that a service will meet your particular requirements.
9. Limitation of liability
To the fullest extent permitted by applicable law, SkySat is not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, business, goodwill, data or anticipated savings, however caused and on any theory of liability, even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or in connection with these terms, whether in contract, tort or otherwise, is limited to the total fees you actually paid to SkySat in the three months immediately preceding the event giving rise to the claim.
We are not liable for charges billed to a client by Meta, for the acts or omissions of Meta, or for any action Meta takes in respect of a client's WhatsApp Business Account.
Nothing in these terms excludes or limits liability that cannot be excluded or limited under the law of the Republic of Iraq.
10. Suspension and termination
We may suspend or terminate your access to a service, with immediate effect where the circumstances require, if:
- You breach section 5 or section 6.
- We are required to do so by law, by a lawful order of a competent authority, or by Meta.
- Your use threatens the security, integrity or availability of our network, our platforms or other customers' service.
- Fees remain unpaid after written notice.
Where the circumstances allow, we will give notice and an opportunity to remedy the breach before suspending.
You may terminate in accordance with your subscription contract, or, for platform services, on 30 days' written notice unless otherwise agreed. A business client may also revoke SkySat's access at any time by disconnecting SkySat in its Meta Business Settings.
On termination your right to use the service ends, fees accrued up to that date remain payable, our equipment must be returned, and data is handled in accordance with our Privacy Policy and Data Deletion pages. Sections 5d, 8, 9 and 11 survive termination.
11. Governing law
These terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the law of the Republic of Iraq. The competent courts of Baghdad, Republic of Iraq, have exclusive jurisdiction.
12. Changes to these terms
We may amend these terms. The revised terms will be published at this address with an updated effective date. Where a change materially affects your rights or obligations we will give at least 30 days' notice, by email to the address on your account where you have one. Continued use after the change takes effect constitutes acceptance.
13. General
If any provision of these terms is held invalid or unenforceable, the remaining provisions remain in full force. A failure to enforce a provision is not a waiver of it. You may not assign your agreement with us without our written consent. These terms, together with any written subscription contract or service order, form the entire agreement between us in respect of the services they cover.
